1. Acceptance of Terms
By accessing or using the websites, platforms, and services (collectively, the "Services") provided by KOLIVO™ Technologies Inc. ("KOLIVO™", "we", "us", or "our"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not access or use our Services. These Terms constitute a legally binding agreement between you and KOLIVO™ Technologies Inc., a corporation incorporated under the laws of Quebec, Canada, with its principal place of business in Montréal, Quebec.
2. Eligibility
You must be at least 18 years of age to use our Services for enterprise purposes. By using our Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
3. Description of Services
KOLIVO™ provides advisory, implementation, managed services and selected digital products. Hub and Nest are distinct offerings; Gate is a portal for KOLIVO consulting clients, while Vault is an internal system and is not sold as a standalone service. The scope and availability of each offering are defined in its applicable service agreement.
4. Account Registration and Security
Access to our Services requires account registration. You agree to provide accurate, current, and complete information and to maintain the security of your account credentials. You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts with inaccurate or fraudulent information.
5. Data Privacy and Security
We are committed to protecting your data. Our data handling practices are described in our Privacy Policy and are designed with applicable privacy requirements in mind. Please review that policy for details on collection, use, disclosure and your choices.
6. Acceptable Use Policy
You agree to use our Services only for lawful, professional, and authorized purposes. You shall not engage in any activity that is illegal, infringes on the rights of others, disrupts the Services, or attempts to gain unauthorized access to our systems. A full list of prohibited activities is available in our Acceptable Use Policy document.
7. Intellectual Property
All content, trademarks, and software associated with the Services are the exclusive property of KOLIVO™ Technologies Inc. or its licensors. KOLIVO™ and all related names, logos, and service marks are trademarks of KOLIVO™ Technologies Inc. You are granted a limited, non-exclusive, non-transferable license to access and use the Services, but you may not use our intellectual property without prior written permission.
8. Confidentiality
Both parties may be exposed to confidential information. "Confidential Information" means any information disclosed by one party to the other, in any form, that is designated as confidential or that reasonably should be understood to be confidential. Both parties agree to protect the other's Confidential Information from unauthorized use, access, or disclosure.
9. Fees and Payment
Certain Services require payment. All fees are quoted in Canadian dollars (CAD) unless specified otherwise and are non-refundable, except as required by law. You are responsible for all applicable taxes. Failure to pay may result in suspension or termination of Services.
10. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". KOLIVO™ DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11. Limitation of Liability
IN NO EVENT WILL KOLIVO™ BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM THE SERVICES IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR ONE HUNDRED CANADIAN DOLLARS ($100 CAD).
12. Indemnification
You agree to indemnify, defend, and hold harmless KOLIVO™ Technologies Inc. and its affiliates against any claims, liabilities, damages, and costs arising from your use of the Services or your violation of these Terms.
13. Governing Law and Jurisdiction
These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada. Any legal action shall be brought exclusively in the courts of the judicial district of Montréal, Quebec.
14. Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date. Your continued use of the Services after changes constitutes acceptance.
